Timing the Market and Protecting a Legacy

In late 2020, a pair of successful business owners reached out to Arthur Berry & Company. Approaching retirement, they wanted to explore the possibility of selling without rushing the process. Their business was thriving, bolstered by a COVID-era boom, and they were cautiously optimistic about the future.

Their core questions: How can we time this right? How do we protect what we’ve built? What’s the best path to maximize our return—without regret?

The stakes were high. A premature sale could mean leaving money on the table, but waiting too long risked missing the peak. With economic uncertainty still looming, the owners needed strategic guidance to help them plan the right move.

A Long-Term Strategy Built on Market Insight

Our team provided an initial valuation in early 2021, followed by several updates over the next two years as the market evolved. We offered clear benchmarks: what sales and profit levels would command at various price points so that the owners could plan with confidence.

When sales stabilized in early 2023, the timing was right. The business was listed…at double the original valuation.

This proactive, data-driven approach empowered the sellers to wait for optimal conditions while still moving forward with purpose. We tailored the strategy to attract the right kind of buyer—one who valued the business and had the resources to make a smooth transition.

A Successful Exit with a Satisfying Retirement

Selling in a small resort town came with unique challenges. Buyer location, housing affordability, and financing hurdles meant a longer-than-expected timeline. While the owners initially hoped for a quick cash sale, we guided them through multiple offers and ultimately closed the transaction with an SBA-backed buyer.

It took two years to find the right match, but the reward was worth it. The business sold at twice the original valuation, and the sellers were able to retire on their own terms, with financial confidence and peace of mind.

Navigating Deadlines, Legal Hurdles, and Legislative Pressure

When a long-standing Treasure Valley establishment shut its doors, its legacy liquor license became a critical asset in the estate’s closure. The trustee, managing multiple legal entities and stakeholders, turned to Arthur Berry & Company for help. The situation was complicated. Opinions were divided, sign-offs were needed from several parties, and legislative changes in July 2023 meant there was only one more transfer allowed before the license would expire.

To make matters more urgent, Idaho’s Alcohol Beverage Control Board had triggered an initial 180-day countdown from the date operations ceased. Without a successful transaction within that window, the license and its significant value would be lost.

Meeting the Market with Urgency and Precision

With decades of experience in liquor license transactions and key relationships with regulatory authorities, Arthur Berry & Company knew how to move quickly and intelligently. We launched a targeted marketing campaign and fielded multiple buyer inquiries. However, while interest was high, the reality was more complex. Liquor licenses cannot be financed, creating a cash-only barrier that delayed offers.

We stayed proactive and used our long-standing relationships with the Alcohol Beverage Control Board to secure a 60-day extension on the original deadline. This provided critical breathing room to complete the transaction.

Even with an extension, the margin for error was extremely narrow. Our team coordinated communication among the trustee, attorneys, buyers, investors, and the Alcohol Beverage Control Board to keep every moving part aligned.

The Right Buyer, the Right Terms, and the Right Outcome

On day 15 of the 60-day extension, we secured a qualified buyer. However, finalizing the deal was no easy feat. The buyer still needed:

  • A signed lease amendment from a third-party landlord

  • Multiple investors to align under one entity

  • Approval of a temporary serving area

  • Assurance of future build-out plans

Despite a maze of challenges, the Arthur Berry team kept everything on track and closed the deal just before the final deadline. The license was successfully transferred, the estate secured critical value, and the buyer gained a valuable operating asset.
